Terms of Service

These Terms of Service ("Terms") govern your use of the WRAPTOR platform at wraptor.io (the "Service"), operated by MAXIMON LLC, a New Jersey limited liability company located at 227 Penn Ave, Edison, NJ 08817 ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must create an account and select a subscription plan. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any information that changes
• Accept responsibility for all activity under your account

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent.

2. Subscription & Billing

Plans: The Service is offered under paid subscription plans (Economy, Commercial, Premium) with varying usage limits on team members, locations, storage, and AI credits.

Billing: Subscriptions are billed monthly or annually in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Failed Payments: If a payment fails, you will have a 7-day grace period to update your payment method. After the grace period, your account will enter read-only mode until payment is resolved.

Cancellation: You may cancel your subscription at any time through the billing settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price Changes: We reserve the right to change subscription pricing with 30 days' notice. Existing subscribers will be notified before any price increase takes effect on their account.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Transmit viruses, malware, or other harmful code
• Use the Service to send spam or unsolicited communications
• Resell or redistribute the Service without our written consent
• Exceed your plan's usage limits through automated means

4. Your Data

Ownership: You retain all rights to the data you enter into the Service, including customer information, job details, files, and business data. We do not claim ownership of your content.

License: You grant us a limited license to use, store, and process your data solely to provide and improve the Service.

Backups: While we maintain regular backups, you are responsible for maintaining your own copies of critical business data.

Data Export: You may request an export of your data at any time by contacting us.

5. AI Features

The Service includes AI-powered features (wrap studio renders, smart summaries). AI-generated content is provided "as is" and may not always be accurate. You are responsible for reviewing and approving any AI-generated content before using it commercially or sharing it with customers. AI usage is subject to your plan's credit limits.

6. Third-Party Integrations

The Service includes native email via WraptorMail and integrates with third-party services including Google (Calendar, Contacts), Stripe (payments), and others. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability or performance of third-party services.

7. Intellectual Property

The Service, including its design, code, features, and branding, is owned by MAXIMON LLC and protected by copyright, trademark, and other intellectual property laws. "WRAPTOR" and associated logos are trademarks of MAXIMON LLC.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXIMON LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Indemnification

You agree to indemnify and hold harmless MAXIMON LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 4, 7, 8, 9, 10, and 12 survive termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Middlesex County, New Jersey.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
